1. RESEARCH USE ONLY AGREEMENT
By accessing and using overmatchlabs.com (the “Website”) and purchasing products from Overmatch Labs, LLC (“Company,” “we,” “us,” or “our”), you agree that:
1.1 All products sold by Overmatch Labs are intended EXCLUSIVELY for research use in professional and institutional laboratory settings. Our products are NOT intended for human consumption, veterinary use, or any application outside of controlled research environments.
1.2 Products are sold as “Research Use Only” (RUO) reference materials and are NOT approved by the FDA, DEA, or any other regulatory body for human use.
1.3 You certify that you are a legitimate researcher, academic institution, pharmaceutical company, or contract research organization (CRO) authorized to purchase and handle research compounds.
1.4 You understand that possession or use of certain compounds for non-research purposes may violate federal, state, or local laws, and you assume all legal responsibility for compliance.
2. PRODUCT LIMITATIONS
2.1 Overmatch Labs makes no representations regarding the efficacy, safety, or suitability of its products for any purpose other than research use.
2.2 Products are provided “AS IS” without warranties of any kind, expressed or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
2.3 All products have been tested by third-party laboratories for purity and composition. However, Overmatch Labs assumes no liability for the accuracy of testing or the results of using products outside of specified conditions.
2.4 Products must be stored in appropriate conditions (typically 2-8°C or as specified in product documentation). Improper storage, handling, or use is the sole responsibility of the purchaser.
3. PROHIBITED USES
You agree NOT to:
- Use any product for human or animal consumption, injection, inhalation, or ingestion.
- Resell products to individuals or entities not authorized for research use.
- Use products for any illegal purpose or in violation of local, state, federal, or international law.
- Conduct research in violation of institutional safety protocols, IRB guidelines, or regulatory requirements.
- Make any health, medical, or therapeutic claims about products.
- Reverse-engineer, analyze for non-research purposes, or attempt to reproduce products without written permission.
- Use products in human clinical trials without appropriate regulatory approval and oversight.
4. PAYMENT & BILLING
4.1 Payment must be made in full at the time of purchase via accepted payment methods (credit card, cryptocurrency, or other methods indicated at checkout).
4.2 All prices are listed in USD and do not include applicable sales tax or shipping costs.
4.3 Billing disputes must be reported within 30 days of the transaction date.
4.4 Overmatch Labs reserves the right to refuse service, cancel orders, or suspend accounts that appear to violate these terms.
5. REFERRAL PROGRAM
5.1 Our referral program allows registered users to earn commissions by referring customers to Overmatch Labs.
5.2 Referral commission structure: Referrer receives 10% commission on referred customer purchases. Referred customer receives 10% discount on first purchase. Commissions are tracked via 30-day cookie.
5.3 Fraudulent referrals (fake accounts, self-dealing, incentivized signups) will result in account suspension and forfeiture of commissions.
5.4 Commissions are paid monthly via PayPal or bank transfer (minimum $50 threshold).
6. SHIPPING & DELIVERY
6.1 Shipping is available to United States addresses only.
6.2 Standard shipping is $9.99. Free shipping on orders over $150.
6.3 Delivery times are estimates and not guaranteed.
7. RETURNS & REFUNDS
7.1 Products may be returned within 30 days of purchase for a full refund if unopened and in original condition.
7.2 Once a product has been opened, used, or transferred to another container, it is not eligible for return or refund.
7.3 Return shipping costs are the responsibility of the purchaser unless the return is due to a defect or error by Overmatch Labs.
7.4 Refunds will be processed within 14 business days of receipt and inspection of returned products.
8. LIABILITY LIMITATION
TO THE FULLEST EXTENT PERMITTED BY LAW, OVERMATCH LABS SHALL NOT BE LIABLE FOR any direct, indirect, incidental, special, consequential, or punitive damages resulting from the purchase, use, or inability to use products.
9. INDEMNIFICATION
You agree to indemnify and hold harmless Overmatch Labs, its owners, officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of products outside of research purposes, your violation of these Terms, or your sale or transfer of products to unauthorized parties.
10. GOVERNING LAW
These Terms of Service are governed by the laws of the State of Montana. Any legal action shall be brought exclusively in the federal or state courts located in Ravalli County, Montana.
